Terms of Service
Future Cover Ltd t/a IX (company number 14567626) Registered office: 128 City Road, London EC1V 2NX, England Contact: support@ix-platform.com
DRAFT 5 November 2026. For review by a solicitor before use. Text in [square brackets] is a placeholder or a choice still to be made.
1. About these terms
1.1 These terms ("Terms") are the agreement between Future Cover Ltd, trading as IX ("IX", "we", "us"), and the organisation that signs up to use the Intelligence Exchange platform ("Customer", "you").
1.2 IX is a platform that prices, routes, records and controls the use of AI models by an organisation's people and tools ("the Service"). It includes the IX dashboard, the IX gateway endpoints that developer tools connect to, and any related software we supply.
1.3 The Service is for business use only. You must be at least 18 and have authority to bind the Customer.
1.4 These Terms, any order form or pilot letter we both sign ("Order"), and the Data Processing Agreement at www.ix-platform.com/dpa.html ("DPA") form the whole agreement. If they conflict, the DPA prevails on data protection matters, and otherwise the Order prevails over these Terms.
2. Accounts
2.1 The Customer's first user is its lead account. The lead account invites and manages the Customer's other users (managers and developers), sets budgets and routing policies, and is responsible for everything done under the Customer's accounts.
2.2 Each user must keep their sign-in details and API keys confidential. You must tell us promptly at support@ix-platform.com if you think a key or password has been exposed. We may disable a key or account we reasonably believe is compromised.
2.3 [Each Customer is limited to [number] users unless the Order says otherwise.]
2.4 IX staff accounts exist for running the Service. They see company-level totals and account details (such as name, email, role and last activity). They do not see prompts, documents, model outputs, Ask IX conversations or an individual's spend, except as set out in clause 8.4.
3. Pilot, trial and beta
3.1 Where we offer a free trial it lasts [7] days from the date the account is created, unless the Order says otherwise. At the end of the trial the account is suspended unless the Customer has agreed an Order and paid the first invoice.
3.2 Where the Service or a feature is described as "beta", "pilot" or "preview", it may change, be interrupted or be withdrawn, and we give no commitment on availability for it.
4. The Service
4.1 We will provide the Service with reasonable skill and care. We do not promise it will be uninterrupted or error-free. [Target availability and support hours are set out in the Order.]
4.2 We may update the Service. If we make a change that materially reduces what the Customer pays for, we will give at least [30] days' notice, and the Customer may end the agreement under clause 14.3.
4.3 Estimates are not guarantees. The Service shows cost estimates, forecasts, budgets, "typical" ranges, pace comparisons, savings scenarios and capability scores. These are produced from data we hold and from published or measured prices and benchmarks. They are provided to help you plan. We do not guarantee that a real cost will fall within an estimate, or that a cheaper model will give equal quality.
4.4 AI model outputs. Outputs come from third-party AI models. They can be wrong, incomplete or unsuitable. The Customer is responsible for checking outputs before relying on them and for decisions made using them. IX does not give legal, financial, medical or other professional advice.
5. Third-party AI model providers
5.1 IX sends requests to the AI model providers that the Customer's routing policy allows, using the Customer's own provider access where the Customer has set it up, or IX's provider access where the Order says so. Providers are independent of IX and act under their own terms, which the Customer accepts when it enables them.
5.2 We are not responsible for a provider's availability, pricing changes, content or data handling. We will use reasonable efforts to keep model prices and lists in the Service up to date but they may lag a provider's published changes.
5.3 Where the Customer connects its own cloud account (for example Amazon Bedrock), the Customer is responsible for its own agreements and charges with that cloud provider.
6. Acceptable use
6.1 You must not, and must not let anyone else:
- use the Service unlawfully, or to create or send content that is unlawful, infringing, defamatory or harmful;
- attempt to gain unauthorised access to the Service, other customers' data or our systems, or probe, scan or test their security without our written permission;
- interfere with or overload the Service, or use it to build a competing product or to copy its pricing, routing or scoring methods;
- resell or make the Service available to third parties other than the Customer's own staff and contractors;
- use the Service in breach of a model provider's usage policy; or
- remove or bypass usage limits, budgets, guardrails or other controls.
6.2 We may suspend access, with notice where practical, if we reasonably believe this clause has been breached or the Service is at risk.
7. Fees and payment
7.1 Subscription. The Customer pays a subscription fee of [£ per user per month / other basis, as set out in the Order], invoiced [monthly in advance]. [VAT is added where applicable.]
7.2 Balance held on account. To pay for AI model use that IX arranges on the Customer's behalf (including spill-over beyond plans or allowances the Customer already has), the Customer funds a prepaid balance ("Balance"). IX records every charge against the Balance. The Customer will receive low-balance and runway alerts at its lead account. When the Balance is used up, IX may stop routing paid model calls until it is topped up.
7.3 Top-ups. A top-up is credited only when IX has confirmed that the money has been received. Charges and credits in the Service are measured in BT (BitTokens). 1,000 BT is equal to US$1 or the equivalent, at the rate shown in the Service on the day of the charge. [Confirm currency and conversion treatment.]
7.4 BT is a unit of account. BT is used inside IX to measure usage and price. It is not money, a currency, a security or a crypto-asset. It has no value outside IX, can't be traded or transferred, and the Customer has no claim on IX in respect of BT other than as set out in clause 7.5.
7.5 Refund of the Balance. Unused Balance can be refunded to the Customer on written request and on the end of the agreement, [less any amounts the Customer owes IX]. Any interest earned on funds held is kept by IX and is not refundable. [Time for refund: within [30] days of request. Solicitor and accountant to confirm how the Balance is held, whether it is client money, and any regulatory consequences.]
7.6 Fees exclude VAT and other taxes, which the Customer pays where applicable. Late invoices bear interest under the Late Payment of Commercial Debts (Interest) Act 1998. [Payment terms: [14] days from invoice date.] [Fees may be increased on [60] days' notice at renewal.]
8. Customer data
8.1 "Customer Data" means the prompts, documents, instructions, usage records and outputs that the Customer and its users put into or obtain through the Service. The Customer owns its Customer Data.
8.2 The Customer gives us a licence to use Customer Data only to provide, secure and support the Service to the Customer, and as the DPA allows.
8.3 We do not use Customer Data to train AI models and we do not sell it. The AI model provider that handles a request receives its content, and handles it under its own terms.
8.4 We will not look at the content of Customer Data except where the Customer asks us for support and authorises it, where needed to keep the Service secure or to deal with a fault, or where the law requires.
8.5 The Customer is responsible for what its users put into the Service. It must have the right to use that data, and should not enter data that its own policies or the model providers' terms don't allow. IX guardrails can flag certain kinds of sensitive information, such as email addresses or secrets. They record the type and number found. They are an aid and do not stop the data being sent unless the Customer has set a policy that does so, and we do not promise they find everything.
8.6 Where Customer Data includes personal data, the DPA applies.
9. Intellectual property
9.1 We own the Service, including its software, scoring, pricing and routing methods, benchmarks, designs and documentation, and all rights in them. The Customer gets a non-exclusive, non-transferable right to use the Service during the agreement for its own business.
9.2 The Customer may give us feedback and we may use it without restriction or payment.
9.3 Each party keeps its own trade marks. Neither may use the other's name or logo in public statements without written consent. [Either party may name the other as a customer or supplier in private business conversations.]
10. Confidentiality
10.1 Each party must keep the other's non-public information confidential, use it only for the agreement, and disclose it only to staff, advisers and subcontractors who need it and are bound by similar duties, or where the law requires it.
10.2 This does not apply to information that is public through no fault of the recipient, was already known to it, or is independently developed.
11. Security
11.1 We use appropriate technical and organisational measures to protect the Service and Customer Data, as described in the DPA. We will tell the Customer without undue delay if we become aware of a security incident affecting its Customer Data.
11.2 The Customer must keep its own systems, credentials and API keys secure and apply the access controls IX provides.
12. Warranties and disclaimers
12.1 Each party has the authority to enter into the agreement.
12.2 Except as set out in the agreement, and to the extent the law allows, the Service is provided "as is" and we exclude all implied warranties and conditions, including about fitness for a particular purpose, accuracy of estimates and AI outputs, and uninterrupted operation.
13. Liability
13.1 Nothing in the agreement limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that the law doesn't allow to be limited.
13.2 Subject to 13.1, neither party is liable to the other for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
13.3 Subject to 13.1, each party's total liability to the other in any [12]-month period arising out of or in connection with the agreement is limited to [the greater of £[amount] and [100]% of the fees paid and payable in that period]. [The Balance is not a fee for this purpose and is not reduced by this clause.]
13.4 [Liability under the DPA and for a breach of confidentiality is limited as follows: [to be agreed].]
13.5 The Customer is responsible for charges that AI model providers make to it directly.
14. Term and ending the agreement
14.1 The agreement starts on the date the Customer signs the Order or first uses the Service, and continues for the term in the Order, then renews [monthly] unless a party gives [30] days' notice before the end of the current term.
14.2 Either party may end the agreement immediately by written notice if the other commits a material breach that it hasn't fixed within [14] days of notice, or becomes insolvent.
14.3 If we make a change under clause 4.2, the Customer may end the agreement by written notice within [30] days of notice of the change, and we will refund any fees paid for the period after it ends.
14.4 On ending, the Customer's access stops, we will refund the unused Balance under clause 7.5, and we will return or delete Customer Data as the DPA says. Clauses that by their nature should continue (including 7.5, 9, 10, 13 and 17) continue.
15. Changes to these Terms
We may update these Terms. We will give account holders at least [30] days' notice of a material change, and a change doesn't affect a signed Order until it renews.
16. General
16.1 Notices. Notices must be in writing. To us: support@ix-platform.com and the registered office. To the Customer: its lead account email.
16.2 Assignment and subcontracting. The Customer must not assign or transfer its rights without our written consent. We may use subcontractors but remain responsible for them.
16.3 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages at cloud, network or AI model providers.
16.4 Entire agreement and variation. The agreement is the whole agreement on its subject. Changes must be in writing and signed by both parties, except under clause 15.
16.5 Severance and waiver. If a provision is unenforceable, the rest continues. A delay in enforcing a right is not a waiver.
16.6 Third parties. Only the parties have rights under the agreement. The Contracts (Rights of Third Parties) Act 1999 doesn't apply.
17. Law and disputes
The agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes) are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
